What to put in a demand letter for payment
A demand letter has one job: make paying you the easiest option the client has. Every line should be a fact the client already knows is true.
- Your business name and the client’s legal name, matching the contract.
- The invoice number, the invoice date and the amount due.
- One sentence on what you delivered and when.
- A specific pay-by date, written as a date, not "soon".
- How to pay: a link, account details or an address.
- The step you will take if the date passes, such as filing in small claims court.
How long to give the client
Ten to fourteen days is the common range. Shorter reads as a bluff, longer lets the letter sink under other bills. If your contract sets a cure period, use that number.
What to leave out
- Threats of criminal charges, arrest or reporting to authorities. Using criminal threats to collect a civil debt can expose you to liability.
- Anything you will not do. If you say you will file on the 24th, file on the 24th.
- Insults or a long history of the relationship. A judge may read this letter later.
- Interest or late fees your contract or state law does not allow.
Demand letter vs. letter before legal action
They are the same thing under two names. "Letter before action" is the UK term, where courts expect one before most money claims. In the US, the expectation varies by state and court, and sending one first is good practice everywhere.
Questions, answered
Is a demand letter legally binding?
No. A demand letter does not create a new obligation. It records that you asked for payment, what you asked for and when. That record helps in court, can start interest under some contracts, and shows the judge you tried to settle before suing.
Do I need a lawyer to send a demand letter?
No. A business can send its own demand letter. A letter from a lawyer or a recovery service can carry more weight, because it signals that filing is the next step and someone is already set up to do it.
What happens if they ignore the demand letter?
You take the step you named in the letter, usually filing in small claims court. Keep the letter, the certified mail receipt and any reply. They become part of your evidence and show the judge the client had notice.
Can I add interest or late fees to a demand letter?
Only if your contract allows it or your state law provides for it. Claiming fees you are not entitled to can weaken your position. If your terms include a late fee, quote the clause and show the math.
